§ 1. Definitions
Whenever the following terms written with a capital letter are used in these Terms and Conditions, they shall be understood as follows:
- Price List – a document specifying the current prices of the Subscription, posted on the Website;
- CertifyHub – an online application available on the Website, intended for entrepreneurs, used for generating and issuing attestations, particularly badges and certificates, as well as creating email templates and sharing attestations with external Recipients;
- Consumer – a natural person who enters into an agreement with the Service Provider not directly related to their business or professional activity; within the meaning of these Terms and Conditions, this term also includes a natural person entering into an agreement directly related to their business activity, where the content of the agreement indicates that it does not have a professional character for that person, particularly resulting from the subject of their business activity, made available based on the provisions of the Central Registration and Information on Business (quasi-consumer);
- Account – an individual and authorized User profile, within which the User uses the CertifyHub application and manages the Subscription;
- Recipient – an entity that has a link shared by the Issuer to access the attestation, its record, and the ability to share their attestation;
- Interruption – a temporary cessation of the operation of the Website or its individual subpages or functions, necessary for technical reasons, including maintenance, modifications, or repairs of the Website;
- Terms and Conditions – these terms and conditions of the www.certifyhub.net Website;;
- Website – the website operated by the Service Provider at the URL: www.certifyhub.net, enabling access to the CertifyHub application;
- Force Majeure – any extraordinary or accidental external event over which the Service Provider and the User have no control or cannot prevent, including but not limited to riots, strikes, armed conflicts, states of emergency, natural disasters, epidemics;
- Stripe – Stripe Payments Europe, Limited and Stripe Technology Europe, Limited, a payment gateway mediating the transfer of payments between the Service Provider and the User;
- Subscription – the scope of services selected by the User within the use of the CertifyHub application;
- Agreement – an agreement for the provision of Services concluded between the Service Provider and the Issuer via the Website;
- Services – the services specified in the Terms and Conditions provided by the Service Provider to the User, consisting of granting access to the content of the Website, the CertifyHub application, and functionalities specified in the Terms and Conditions, using electronic processing devices provided without the simultaneous presence of the parties (remotely);
- Service Provider – CertifyHub OÜ, with its registered office in Estonia at Tartu maakond, Kambja vald, Pangodi küla, Karl-Eeriku, 62017, register code: 17067681, VAT: EE102776931;
- User – an individual authorized by the Issuer that uses the Website to access the provided Services, particularly on the terms and in the manner specified in the Terms and Conditions;
- Issuer – an business entity, i.e., (i) a natural person conducting a sole proprietorship or (ii) a legal person or (iii) an organizational unit without legal personality, having an active Subscription.
§ 2. General Provisions
- Purpose and Scope: The Regulations define the terms and conditions for using the Service and the CertifyHub application, including the conditions for providing Services. Specifically, the Regulations outline the types and scope of Services provided by the Service Provider electronically, the rules for providing these Services, the terms for entering into and terminating Agreements, and the procedure for handling complaints.
- Target Audience: The CertifyHub application is dedicated to professional entities, i.e., entrepreneurs.
- Regulations: The Regulations constitute these Terms and Conditions, any annexes, and other accompanying documentation which applies directly to the provision of the Services. The Regulations are made available in a manner that allows users to familiarize themselves with the content of the documents and freely save and reproduce them in the ordinary course of actions.
- User Obligations: Before using the Service, the User is obligated to read this Regulations and comply with its provisions.
- Language of Service Provision: The Service Provider provides Services and enters into Agreements in the English language.
- Service Provider’s Details:
§ 3. Technical Requirements and Rules for Using the Service
- To use the Service, the User should meet the following technical requirements:
- A computer or mobile device (e.g., smartphone, tablet) connected to the Internet.
- A web browser in the latest version.
- To use the CertifyHub application, the User should have an active email account.
- The Service Provider will make efforts to ensure uninterrupted access to the Service. The Service Provider reserves the right to introduce Interruptions, particularly due to periodic maintenance of computer hardware, system software, tools, internet service provider connections, or random events. If an Interruption is planned and may affect normal Service usage, the Service Provider will inform Users by posting relevant information about the planned Interruption on the Service, at least 24 hours before the scheduled Interruption.
- In exceptional cases affecting the security or stability of the Service, the Service Provider may temporarily suspend or limit the provision of Services without prior notice to Users.
§ 4. General Principles of Service Provision
- Services provided under the Agreement between the Service Provider and the Issuer are either free of charge or subject to payment, based on the following principles:
- The following services are provided free of charge: a) Displaying the content of the Service.
b) Account registration. c) Access to the free 30-day trial version of the CertifyHub application. - All other services, provided after the free trial version and upon subscription purchase, have a paid character: a) Basic plan – in annual or monthly variants. b) Premium plan – in annual or monthly variants.
- The following services are provided free of charge: a) Displaying the content of the Service.
- The Agreement for the provision of electronic services is concluded between the Service Provider and the Issuer:
- Regarding the service of displaying the content of the Service – from the moment of accessing the website.
- Regarding account registration – from the moment of confirmation sent to the provided email address.
- Regarding access to the CertifyHub application functionalities – the free trial version of the CertifyHub application starts upon account registration, and after the free trial period, it continues with each subscription purchase.
- Account registration is free and voluntary but necessary to use the CertifyHub application. To register an account, the User:
- Provides necessary data indicated in the registration form. The User must provide accurate information during account registration, which should be updated as needed.
- Accepts the provisions of the Terms and Conditions and familiarizes themselves with the privacy policy and cookie policy.
- Clicks the “Register” button.
- Receives an email message to the provided address, allowing confirmation of account registration by clicking the sent link.
- The Agreement for the provision of electronic services terminates:
- Regarding the service of displaying the content of the Service – upon leaving the website.
- Regarding account registration – upon account deletion.
- Regarding access to the CertifyHub application functionalities – after the free trial period, subscription expiration, or account deletion.
- A User who has registered an account can invite other individuals to manage the account by granting them appropriate permissions.
- The Service Provider may deprive the User of the right to use the Service or limit their access to part or all of the Service’s resources immediately if the User violates the Terms and Conditions, especially when the User:
- Provides false, inaccurate, or outdated data during account registration, misleading or infringing on the rights of third parties.
- Commits violations of personal rights of third parties through the Service.
- Engages in behavior contrary to applicable legal regulations.
- Misuses services offered through the Service contrary to their intended purpose.
- The User commits not to copy, modify, distribute, or otherwise use the Service contrary to the Terms and Conditions, including actions that indirectly lead to unauthorized removal or circumvention of technical protections of the Service, especially if it could extend unauthorized access to the Service or pose a threat to data contained within the Service.
§ 5. Free Trial Access to the CertifyHub Application
- After the initial account registration, the User receives a free trial access to the CertifyHub application in the basic variant, with a limit of 1000 certificates and additional features as described in §6, paragraph 13, points 2, 3, and 4 below. The free trial access to CertifyHub is intended only for new Users. The User’s status as a new User will be verified and determined by the Service Provider.
- The free trial access to the CertifyHub application is valid for a specified period of 30 days from the date of account registration. During the free trial period, the User has the option to purchase a Subscription.
- After the period mentioned in paragraph 2 above, access to the CertifyHub application in the trial version expires. To continue using CertifyHub, the User should purchase a Subscription, in accordance with §6.
§6. Subscription
- Eligibility: Only Users with an Account may purchase a Subscription.
- Purchase Process: Subscriptions can be purchased through the Account in the “Settings” tab under “Plans and Payments.” This tab specifies the types and features of each Subscription plan.
- Subscription Types: The Service Provider offers two Subscription options:
- Monthly Subscription: Lasts for 30 consecutive days from the date of purchase.
- Annual Subscription: Lasts for 12 consecutive months from the date of purchase.
- Automatic Renewal: Subscriptions renew automatically and continue until canceled by the User or terminated by the Service Provider in accordance with §7 of the Terms.
- Pricing: Subscription prices and additional fees are specified in the Price List available on the Service.
- Net Prices: Prices listed in the Price List are net amounts (final prices include applicable taxes for the selected country) and are quoted in euros.
- Payment Method: The Service offers one payment method for Subscriptions, which is card payment via Stripe.
- Billing Information: Users must provide billing information before purchasing a Subscription, necessary for invoicing.
- Recurring Charges: Subscription fees are charged periodically. The next payment date can be checked in the “Dashboard” and “Settings” tabs under “Plans and Payments” and “Update.”
- Monthly Fee: Charged in advance every 30 days from the date of Subscription enrollment.
- Annual Fee: Charged in advance every 12 months from the date of Subscription enrollment.
- Subscription Purchase: To purchase a Subscription, the User selects “Update Plan” in the “Settings” tab under “Plans and Payments,” then chooses either the standard or premium package in the annual or monthly variant and confirms the selection by clicking “Change Limits.”
- Optional Add-ons: Users may choose additional paid optional add-ons to the basic Subscription:
- Verified Provider: Allows verification of the Provider’s data. After purchasing the add-on, the Provider must transfer 1 euro from the business account to the Service Provider’s bank account. Upon confirming the transfer matches the business data in the Account, the Provider gains verified status. Changing verified Provider data requires repeating the verification process via the “Settings” tab under “Providers.”
- Custom Verification Page: Allows customization of the view for the Recipient, including displaying the Provider’s logo, website link, social media links, and a list of programs offered by the Provider with registration links.
- Expiring Certificates: Allows setting whether issued certificates are valid indefinitely or until a specified date, after which the certificate will be marked as invalid on the Recipient’s page.
- Custom Email Templates: Allows designing custom content and appearance of email messages with certificates sent to the Recipient.
- Confirmation of Purchase: After selecting the appropriate variant, the purchase of the Subscription and optional add-ons is confirmed by clicking “Buy.”
- Contract Formation: The Subscription purchase agreement is concluded when the User receives a purchase confirmation at the provided billing information, which constitutes confirmation of the contract.
- Activation: Access to the selected Subscription variant is activated immediately upon payment and acceptance in the Stripe system.
- Subscription Add-ons and Changes. After purchasing the basic Subscription, the Provider has the option to expand the Subscription at any time by adding the specified add-ons mentioned in paragraph 13 above. Additionally, the Provider can modify the annual certificate limit.
- Termination: During the Subscription period, it is not possible to switch from basic to premium, or from premium to basic, nor to change from annual to monthly, or from monthly to annual. Furthermore, there is no option to cancel purchased add-ons.
§ 7. Termination or Conclusion of Subscription
- Cancellation by Issuer: The Issuer may cancel the Subscription at any time via the Account in the “Settings” tab, “Plans and Payments” section, by selecting the “Update Plan” option, and then clicking the “Cancel” button. The cancellation takes effect at the end of the billing period.
- No Refunds: The Service Provider does not refund the monthly or annual fee for any unused Subscription within the billing period.
- Immediate Termination by Service Provider: If the monthly or annual fee is not paid due to reasons attributable to the Issuer (e.g., insufficient funds), the Service Provider reserves the right to terminate the Subscription with immediate effect.
- Post-Subscription Access: Upon the conclusion of the Subscription period, cancellation by the Issuer, or termination by the Service Provider as per clause 3 above, the Issuer will have access to the CertifyHub application for issued certificates and the option to purchase a new Subscription for 30 days from the occurrence of any of the aforementioned events. After this period, the Service Provider has the right to delete the Issuer’s Account and issued certificates without further notice.
- Paid Storage Service: After the Subscription ends, the Issuer may order a paid service for storing issued certificates in the CertifyHub application. The annual fee for maintaining issued certificates is 200 Euros per year for 5,000 certificates.
- Ordering Storage Service: To order the certificate maintenance service, the Issuer should send a request to the Service Provider at the email address: support@certifyhub.net.
- Payment Instructions: Upon confirming the order, the Service Provider will provide the Issuer with payment details for the annual maintenance service fee.
- Activation of Storage Service: Upon receiving the payment, the Service Provider will inform the Issuer of the activation of the storage service, which lasts for 12 consecutive months from the receipt of the email confirming the order of the maintenance service.
§ 8. Sharing Certificates with Recipients
- After issuing certificates, the Issuer can generate a dedicated link for the Recipient and share it via email to the Recipient’s specified email address.
- Access to the certificate does not require the Recipient to register an account or log in.
- Through the shared link, the Recipient can:
- Download the certificate in PDF or PNG format.
- Share the certificate on specified social media platforms.
- Copy the link for further sharing.
§ 9. Personal Data
- Data Controller: The Service Provider is the data controller for Users’ and Issuers’ personal data. Detailed information regarding data processing is available in the privacy policy, accessible at: www.certifyhub.net/privacy-policy.
- Issuer’s Data: The Issuer is the data controller for personal data entered into the CertifyHub application.
- Data Processing Agreement: The Issuer entrusts the Service Provider with processing personal data entered into the CertifyHub application, following the terms specified in the data processing agreement available at: www.certifyhub.net/personal-data.
- Legal Basis: The Issuer declares and commits to having an appropriate legal basis for processing the personal data of individuals whose data they input into the CertifyHub application.
- Recipient Data: Before inputting Recipient data, the Issuer must declare that they have the right to use the Recipients’ personal data for certificate purposes. The Issuer bears responsibility for the accuracy of this declaration.
- Data Ownership: Data entered by the Issuer into the CertifyHub application remains their property, and the Service Provider commits not to use it for purposes contrary to the law or other than service provision.
- Post-Subscription Access: After Subscription termination and if the decision is made not to renew it, the User or Issuer retains rights to their database processed using the CertifyHub application. The Service Provider will have access for 30 days after Subscription termination to the issued certificates. After this period, the Service Provider shall delete the data.
§ 10. Complaints
- User’s Right to Lodge a Complaint: The User is entitled to file a complaint regarding the operation of the Service or its specific functionalities, particularly the CertifyHub application.
- Complaint Submission: Complaints can be submitted via email to the Service Provider’s email address or by traditional mail to the Service Provider’s address, as specified in §2 section 5 of the Regulations.
- Content of the Complaint: The complaint should include a concise description of the issue, as well as the complainant’s name and contact details.
- Processing Time: The complaint will be processed within 14 days. The response to the submitted complaint will be sent to the User in the manner in which the complaint was submitted or according to the User’s instructions in this regard.
§ 11. Right of Withdrawal from the Agreement
Subscription Activation: The provision of access to the Subscription begins upon activation of the Subscription, i.e., immediately upon payment of the Subscription by the User.
Consumer Rights and Digital Content: Issuer who is a Consumer during active subscription does not have the right to withdraw from the Agreement for the supply of digital content not supplied on a tangible medium, for which the User is obliged to pay the price, if the Service Provider has commenced the performance with the Consumer’s explicit and prior consent. The Consumer was informed before the commencement of the performance that after the performance by the Service Provider, the right to withdraw from the agreement will be lost, and acknowledged this. The entrepreneur provided the Consumer with confirmation of the conclusion of the distance contract on a durable medium within a reasonable time after its conclusion, but no later than before the commencement of the service, in accordance with Article 21 section 1 of the Consumer Rights Act.
Service Provider’s Notice: In view of the above, the Service Provider informs that the Consumer does not have the right to withdraw from the Agreement regarding the purchase of the Subscription.
§ 12. Disclaimers
- User Obligations: The User is obliged to use the Service in accordance with its intended purpose, the content of the Terms and Conditions, and in compliance with the law and principles of social coexistence.
- Intellectual Property Rights: The Service Provider holds the rights to the Service, including copyright. All technical solutions, graphic elements, and other components, particularly HTML codes, CSS stylesheets, and JavaScript scripts, are legally protected, especially under copyright law, which is owned by the Service Provider. This also applies to all materials and works that will be made available or provided to Users as part of the Services. The provision or transfer of such materials to Users does not imply the granting or transfer of rights to these elements unless explicitly stated otherwise by the Service Provider.
- Restrictions on Use: Copying, reprinting, or using any materials or data available on the Service requires the written consent of the Service Provider. It is particularly prohibited to download, process, and use data and other information available on the Service for further dissemination on other websites and portals, both online and offline, or in any other way that infringes the interests of the Service Provider.
- Prohibited Content: Users are prohibited from providing, through or using the Service, any unlawful content that violates principles of social coexistence or decency, including but not limited to offensive, pornographic, hateful, vulgar, false, misleading content, content containing viruses or malware, or content that infringes the rights of third parties, good manners, or false information that harms the good name of the Service Provider.
§ 13. Risks
- Internet Security Risks: The Service Provider informs that the User, like any other Internet user, is subject to risks associated with using the Internet. The primary risk for any Internet user is the possibility of “infecting” the IT system with software created mainly to cause damage, such as viruses, “worms,” or “Trojan horses.” To avoid these risks, it is recommended that the User equip their computer, which they use to connect to the Internet to use the Service, with antivirus software and a firewall and keep it updated.
- Hacker Threats: The Service Provider also informs that specific risks associated with using the Service are related to the activities of so-called hackers, aiming to break into the Service.
- Protective Measures: The Service Provider employs modern protective technologies to minimize the risks mentioned in paragraphs 1 and 2 of this section; however, there are no methods of complete and full protection against the described undesirable actions.
§ 14. Liability
- Service Provider’s Non-Liability: The Service Provider shall not be liable for:
- Non-performance or improper performance of the Agreement if caused by circumstances of Force Majeure;
- Non-performance or improper performance of obligations under the Agreement to the extent caused by the User’s or Issuer’s failure to fulfill their obligations, including but not limited to misuse of the Service or CertifyHub.
- Limitation of Liability: The Service Provider’s liability for damages arising in connection with or as a result of non-performance or improper performance of the Agreement towards the Issuer is limited to the amount of 500.00 (five hundred, 00/100) EURO and does not cover lost profits by the User or Issuer. This limitation applies to both contractual and tort liability.
- Consumer Protection: The limitations of liability mentioned in this paragraph do not apply to Users or Issuers who are Consumers to the extent required by mandatory legal provisions.
§ 15. Amendment of the Regulations
- Grounds for Amendment: The Regulations may be amended for important reasons in the event of:
- Changes in laws directly affecting the content of the Regulations;
- Changes in payment and delivery methods;
- Changes in the types of plans and services offered, including the introduction of new or discontinuation of existing ones;
- Changes in the Service Provider’s data, including address, name, legal form, email address, phone number;
- Decisions or rulings issued by authorized state bodies that affect or may affect the content of the Regulations or the operation of the Service;
- Force Majeure.
- Notification of Changes: The Service Provider shall inform Users of changes to the Regulations by posting relevant information on the Service and sending an email to Users with an Account.
- Effective Date of Changes: Changes to the Regulations shall take effect 14 days after the date of notification in accordance with paragraph 2 of this section.
- User’s Right to Terminate: In the event of non-acceptance of the amended Regulations, Users may terminate the Account Agreement with immediate effect within 14 days of being informed of the changes.
- Impact on Subscriptions: Changes to the Regulations do not affect purchased and ongoing Subscriptions, to which the Regulations in effect at the time of the Agreement apply, and for which there is no right to terminate the agreement.
§ 16. Final Provisions
Effective Date: The Regulations come into effect on October 1, 2024.
Applicable Law: For the purposes of executing the Regulations and agreements therein, the laws of the Republic of Estonia apply. The choice of Estonian law does not deprive Users of rights arising from mandatory legal provisions of their habitual place of residence as Consumers.
Invalidity Clause: If one of the provisions of the Regulations is declared invalid by the competent authority or court in a final decision or ruling, the remaining provisions of the Regulations remain in force.
Access and Acceptance: Users of the Service can access this Regulations at any time via the link provided on the main page of the Service and download and print it.
Access and Acceptance: Prior to using the Service, the User is obliged to familiarize themselves with the content of the Regulations. Acceptance of the Regulations is voluntary but necessary to conclude the Agreement.
